Eligibility

U.S. SBCs in permitted legal forms: sole proprietorship, partnership, limited liability company (LLC), corporation, joint venture, association, trust, or cooperative (JVs must have <50% participation by foreign business entities)
U.S. SBCs that are >50% directly owned and controlled by U.S. citizens or permanent resident aliens, other eligible SBCs (each >50% U.S.-owned), an Indian tribe, Alaska Native Corporation (ANC), Native Hawaiian Organization (NHO), or any combination thereof
U.S. SBCs that are >50% owned by multiple venture capital operating companies (VCOCs), hedge funds, or private equity firms (SBIR-only; no single firm may own >50% unless that firm itself qualifies as an SBC >50% U.S.-owned)
Joint ventures composed of entities that each independently meet the SBC ownership requirements (special SBA 13 CFR 121.705(b) registration/proposal requirements apply if any JV party is VCOC/HF/PE-owned)
United States Small Business Concerns (SBCs) organized for profit with a place of business in the U.S., operating primarily in the U.S. or contributing significantly to the U.S. economy
