For-Profit Organizations: United States Small Business Concerns (SBCs) meeting SBIR eligibility (organized for profit; U.S. place of business; operates primarily in the U.S. or contributes significantly to the U.S. economy; ≤500 employees including affiliates; eligible legal forms such as proprietorship, partnership, LLC, corporation, joint venture, association, trust, cooperative)
Joint ventures of eligible SBCs (each entity to the JV must meet SBIR ownership/control criteria; foreign business entities must have <50% participation in the JV; JVs that include VC/HF/PE-owned concerns must comply with 13 CFR §121.705(b))
SBCs >50% owned and controlled by U.S. individuals, qualifying U.S.-owned business concerns, or by Indian tribes, Alaska Native Corporations (ANCs), or Native Hawaiian Organizations (NHOs), or any combination thereof (SBIR)
SBCs >50% owned by multiple venture capital operating companies (VCOCs), hedge funds, private equity firms, or any combination thereof — SBIR-only (no single VCOC/HF/PE may own >50% unless that single firm itself qualifies as a U.S.-owned SBC)
